Mandate for Social Media Management
Applicable to WMG-STUDIO clients who have subscribed to a social media management service.
1. Purpose
The purpose of this mandate is to define the conditions under which the Client authorizes WMG-STUDIO (Farhat Werfelli, sole proprietorship / Entreprise Individuelle) to publish and manage content on the Client’s social media account(s) (in particular TikTok, via the official “Content Posting API,” as well as any other social media platform agreed between the parties), in the Client’s name and on the Client’s behalf, as part of the social media management service agreed under the service agreement.
This mandate does not constitute a standalone agreement: it applies in addition to the service agreement between WMG-STUDIO and the Client.
2. Authorization Process
The Client connects their own social media account(s) via the OAuth authorization protocol offered by each platform. WMG-STUDIO never has knowledge of or access to the Client’s password at any time: no password is requested, transmitted, or shared.
The authorization thereby granted is limited to the technical rights strictly necessary for performance of the service (for example: publishing content, viewing publication statistics). The Client may revoke this authorization at any time from their account settings on the relevant platform, without any obligation to notify WMG-STUDIO in advance, although doing so is recommended to ensure continuity of service.
3. Scope of the Mandate
WMG-STUDIO publishes only content (videos, visuals, text, captions) previously supplied or approved by the Client, in accordance with the editorial calendar agreed between the parties. WMG-STUDIO does not publish any content that has not been approved by the Client.
The mandate covers the following actions: uploading publications, scheduling, and reviewing publication statistics relating to the account(s) concerned. It does not cover comment moderation, responding to private messages, or any other action not expressly agreed in writing between the parties.
4. Responsibility for Content
The Client remains solely responsible for the content it supplies or approves for publication, in particular as to its lawfulness, compliance with third-party rights (image rights, copyright, trademark rights), and compliance with the rules of the relevant platform.
WMG-STUDIO acts as a technical service provider carrying out the publication of content approved by the Client; WMG-STUDIO is not the publisher (éditeur) of the published content within the meaning of French Law No. 2004-575 of 21 June 2004 on Confidence in the Digital Economy (LCEN) and does not bear editorial responsibility for the substance of the publications.
5. Term and Termination
This mandate takes effect on the date the Client connects the account and remains in force for the entire duration of the social media management service agreement concluded with WMG-STUDIO.
It terminates automatically, without further formality:
- upon expiry or termination of the service agreement; or
- upon revocation, at any time, of the OAuth authorization by the Client from the relevant platform’s settings.
6. Personal Data
The processing of data related to the performance of this mandate (access tokens, published content, statistics) is described in WMG-STUDIO’s Privacy Policy, in particular in clause §2.f thereof.
7. Governing Law
This mandate is governed by French law. Any dispute concerning its validity, interpretation, or performance shall, failing amicable resolution, be subject to the competent courts under ordinary law rules.
